Welcome to YunDian+ B2B marketing services. These Terms of Service apply to website development, SEO, advertising management, content marketing, and related value-added services provided by Zhongshan Kecent Technology Co., Ltd. and its affiliated brand YunDian+. Please read this agreement carefully before engaging or using our services.
By submitting an inquiry, approving a quotation, making payment, or continuing to use our services, you confirm that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree to any part of this agreement, please do not continue to use the services.
1. Service Definition
1.1 Website Development and Technical Services
- Includes WordPress website customization, B2B website builds, multilingual page setup, and server or domain related technical support.
- May include page design, frontend development, plugin configuration, basic security setup, and lead form or inquiry system integration.
- If explicitly stated in the proposal, services may also include product upload, content formatting, basic data entry, and third-party tool integration.
- The exact scope, deliverables, and timeline of technical services are governed by the final quotation, contract, or approved project brief.
- Unless clearly stated otherwise, third-party platforms, hosting, domains, paid plugins, and external API fees are not included in the basic development fee.
1.2 Marketing and Growth Services
- Includes SEO, Google Ads, Facebook advertising, LinkedIn lead generation, TikTok content, and overseas social media operations.
- Marketing services may include strategy planning, account diagnosis, creative recommendations, campaign setup, reporting, and ongoing optimization.
- If included in the package, services may also cover content planning, case packaging, FAQ design, landing page optimization, and private traffic operation suggestions.
- Advertising performance depends on budget, industry competition, creative quality, landing page conversion, and client-side follow-up efficiency.
- Except for explicitly promised deliverables, YunDian+ does not guarantee a specific number of leads, sales results, or return on ad spend.
2. Service Period and Standards
2.1 Service Period
- Project-based service periods are subject to the confirmed contract, quotation, or project schedule.
- Ongoing operation services are usually billed monthly, quarterly, or annually based on the signed plan.
- If the client fails to provide materials, feedback, or required access on time, the service schedule may be extended accordingly.
- Delays caused by third-party reviews, platform restrictions, or force majeure events do not constitute a breach by us.
2.2 Service Standards
- We will deliver services in accordance with the mutually confirmed scope, deliverables, and timeline.
- For design, development, content, and advertising tasks, the client is expected to review and provide feedback within a reasonable time.
- If the client requests additional work outside the original scope, both parties may reassess workload, fees, and timeline.
- We reserve the right to optimize the execution method according to project needs, without reducing the core deliverables already committed.
3. Client Obligations
3.1 Cooperation Responsibility
- The client shall provide account access, company information, product data, case materials, contact details, and other required information on time.
- The client should appoint a clear project contact person to improve communication efficiency and reduce repeated confirmations.
- The client is responsible for timely approvals and feedback at key milestones. Delays caused by late response shall be borne by the client.
- Where third-party platforms, payment accounts, ad accounts, or servers are involved, the client must ensure that the information provided is lawful, accurate, and usable.
3.2 Content and Compliance Responsibility
- The client must ensure that all texts, images, videos, trademarks, certificates, product details, and other materials provided are lawful, accurate, and do not infringe third-party rights.
- If disputes, penalties, or losses arise from false claims, infringement, or illegal materials provided by the client, the client shall bear the responsibility.
- The client shall not request us to publish content that violates platform policies, laws, regulations, or industry compliance requirements.
- The client remains fully responsible for its own products, services, pricing, after-sales obligations, qualifications, and sales promises.
4. Payment Terms
4.1 Payment Methods
- The client shall make payments on time according to the confirmed contract, quotation, or order arrangement.
- Common payment methods include bank transfer, corporate transfer, platform payment, or other methods confirmed in writing by both parties.
- For project-based services, we may charge by upfront payment, milestone payment, and final payment stages.
- For ongoing operation services, if payment is overdue, we reserve the right to suspend service until payment is settled.
4.2 Fee Description
- Service fees normally do not include third-party ad spend, hosting renewal, domain renewal, paid plugin licenses, or outsourced creative assets unless clearly stated in the proposal.
- Ad spend, media budget, and platform top-up costs are borne by the client. Specific recharge or pass-through arrangements depend on the cooperation agreement.
- If the project scope changes or additional requests arise during execution, we reserve the right to provide a separate quotation.
- Unless otherwise required by law or specifically agreed, fees for completed work and labor already delivered are generally non-refundable.
5. Intellectual Property
5.1 Ownership of Deliverables
- After the client pays all outstanding fees in full, and unless otherwise agreed, the agreed usage rights of customized deliverables may be transferred to the client.
- For third-party templates, plugins, stock libraries, fonts, platform APIs, or SaaS services, intellectual property remains with the original rights holder and may only be used within the authorized scope.
- Our methodologies, execution experience, strategy frameworks, reusable code components, and optimization processes remain our property unless otherwise agreed.
- Without prior written consent, neither party may copy, resell, publish, or disclose the other party's protected materials or intellectual property.
5.2 Usage License
- The client shall use delivered content, design, and code only within lawful, compliant, and authorized scope.
- If the client has unpaid balances, infringement issues, misuse, or malicious distribution behavior, we reserve the right to suspend related authorization or pursue liability.
- We may use publicly launched project results as case studies, capability proof, or marketing materials, provided no confidential business information is disclosed.
- If the client requires permanent confidentiality or no public case display, this must be clearly stated in writing before signing and agreed separately.
6. Disclaimer
6.1 Technical Limitations
- Internet services are affected by servers, networks, browsers, third-party APIs, and platform policy changes, which may result in interruptions, delays, or feature limitations.
- Restrictions, bans, review failures, or API changes caused by Google, Meta, TikTok, LinkedIn, hosting providers, or other third-party platforms shall not be deemed our breach.
- If the client fails to renew hosting, domains, plugins, or ad accounts on time, the resulting losses are the client's responsibility.
- We make commercially reasonable efforts to ensure service stability, but do not guarantee absolute uninterrupted availability in every technical environment.
6.2 Performance Statement
- SEO rankings, advertising performance, lead volume, follower growth, and sales results are affected by industry conditions, budget, content, product competitiveness, and sales follow-up.
- All case studies, data, and historical results shown by us are for reference only and do not constitute a guarantee of future performance.
- If the client refuses necessary optimization suggestions, delays feedback, or fails to prepare adequate materials, results may be directly affected.
- We are not responsible for conversion loss caused by the client's own product issues, pricing system, delivery capability, or sales process.
7. Data and Privacy Protection
7.1 Data Security
- We take reasonable measures to protect project materials, admin accounts, client information, and operational data.
- The client should properly manage backend accounts, email, ad accounts, servers, and payment credentials, and avoid uncontrolled sharing of sensitive access.
- If data leakage occurs due to poor client-side management, weak passwords, excessive permissions, or staff turnover, the client bears the related responsibility.
- If a suspected security incident occurs, both parties shall communicate promptly and cooperate to mitigate the loss.
7.2 Privacy Protection
- We process client information only within the scope necessary for service delivery, project communication, after-sales support, and internal optimization.
- Unless required by law or expressly authorized by the client, we do not disclose the client's non-public business information to unrelated third parties.
- Where user data, lead data, form submissions, or CRM data are involved, the client shall ensure collection and usage comply with applicable laws.
- For more detailed privacy handling rules, please refer to the site privacy policy and any separate data processing agreement signed between both parties.
8. Service Changes and Termination
8.1 Conditions for Service Changes
- If the client needs to adjust the service scope, budget, schedule, language versions, page quantity, or ad strategy, it should communicate with us in advance.
- Any major change may affect fees, timeline, and deliverables, and shall be subject to written confirmation by both parties.
- If platform policies, APIs, account status, or compliance requirements change materially, we may recommend adjustments to the execution plan.
- To protect overall project results, we reserve the right to suggest revisions to unreasonable or high-risk requests, or decline execution where necessary.
8.2 Conditions for Service Termination
- If either party materially breaches the contract or these Terms and fails to correct it within a reasonable period, the other party may terminate the cooperation.
- If the client seriously delays payment, refuses necessary cooperation, or continuously requests non-compliant execution, we reserve the right to suspend or terminate the service.
- After termination, both parties shall still settle fees for completed stages, delivered work, and account handover matters.
- Clauses related to confidentiality, intellectual property, limitation of liability, and dispute resolution shall survive termination.
9. Dispute Resolution
If a dispute arises during cooperation, both parties shall first attempt to resolve it through friendly negotiation. If negotiation fails, the following principles apply:
- Both parties should first clarify the disputed issues through written communication, email, or instant messaging records and attempt negotiation.
- If no resolution is reached, either party may submit the dispute to a competent people's court at the contract signing place or the defendant's domicile.
- During dispute resolution, both parties should continue performing unaffected obligations as much as reasonably possible.
- The formation, performance, interpretation, and dispute resolution of this agreement shall be governed by the laws and regulations of the People's Republic of China.
10. Other Terms
These Terms of Service are governed by the laws and regulations of the People's Republic of China.
These terms take effect on the date this page is published and remain effective throughout the service cooperation period.
If any provision of these terms is deemed invalid or unenforceable, the validity of the remaining provisions shall not be affected.
